Khwezela’s Strategy to a Transaction

Planning: During such planning exercises Khwezela works with a client to apply the client’s business strategy to various transaction scenarios so as to develop one of the following:

  • a corporate transaction strategy, whether with regards to acquisitions or disposals, or both; or
  • a strategy with regards to the introduction of Black Economic Empowerment (“BEE”) partners to the client’s business; or
  • a succession strategy for owners of small to medium size businesses.

Identification: This may develop from a transaction planning exercise, or where a client engages Khwezela to find businesses with specific criteria to purchase, or to find purchasers for a business it wishes to dispose of. This process typically entails one or more of the following:

  • the conducting of market research and investigation; and/or
  • valuations of business; and/or
  • the initiation and development of negotiations with potential transaction parties.

Execution: This may develop from a transaction identification exercise, or where a client engages Khwezela to assist with the execution of an identified transaction. This process typically entails one or more of the following:

  • a business valuation; and/or
  • a due diligence investigation; and/or
  • the negotiation, structuring and implementation of a transaction.

Financing: This may be part of a transaction execution assignment or where a client engages Khwezela to raise finance, whether debt of equity, for a transaction, or to finance the organic expansion of the business. This process typically entails one or more of the following:

  • a business valuation; and/or
  • the identification of potential sources of finance; and/or
  • the preparation of a financing application; and/or
